1) Terms of contract
- a) The contractual partners are bound by a contract with mutual obligations as soon as the customer provides GD Incentives GmbH with a signed order confirmation.
- b) The order confirmation and the general terms and conditions regulate the content of the contractual relationships.
- c) Differing general terms and conditions of the customer are only effective if they have been agreed with GD Incentives GmbH. Changes must be made in writing.
2) Performance and scope of services
The scope of the contractual services and the fee (handling fee) result from the written offer. Subsidiary agreements or changes that change the scope of the contractual service or the price require a modified offer and should be recorded in writing immediately.
Sub-suppliers are determined by GD Incentives GmbH. GD Incentives GmbH is liable for services resulting from subcontracting in accordance with the statutory provisions. Unless otherwise agreed, processing takes place via GD Incentives GmbH.
If GD Incentives GmbH takes over the organization of an event, GD Incentives GmbH is not liable for the success of this event, in particular not for a specific income. GD Incentives GmbH’s liability is also excluded if visitors or participants cause damage of any kind during the course of this event.
3) Program design
- GD Incentives GmbH will prepare an initial proposal free of charge for the period requested by the client, based on previously determined wishes and ideas, including hotel suggestions if desired.
- If the customer agrees to the proposal, GD Incentives GmbH will prepare a detailed offer for which the customer will be reimbursed €450.00. These costs will be charged when an order is placed.
- a) Hotel bookings
- Hotels in different categories are offered per group request.
- All booked rooms will be included in the total invoice from GD Incentives GmbH.
- Hotel offers have a fixed option date and can be extended by 14 days at the customer’s request.
- After the option expires, the offer expires automatically.
- After the contract has been signed, the withdrawal and cancellation conditions of the booked hotel apply.
- b) Restaurant bookings
- Reservations booked by GD Incentives GmbH for the customer will be charged if the customer/group does not show up on the agreed date. The basis for the calculation is 80% of the restaurant’s lost sales for the meals booked.
- Reductions in the number of people are free of charge up to 7 days before the appointment. An increase in the number of people requires the consent of the booked restaurant.
- Drinks for restaurant bookings can either be paid for on site by the customer for the entire group or with the total invoice from GD Incentives GmbH.
- c) Catering, room costs, technology and decoration
- Service & Equipment includes, for example: recruitment, event management, chefs, logistics specialists. Dishes, cutlery, glasses, cruets, coffee dishes, including cleaning as well as white napkins and tablecloths.
- Room costs include, for example: room rent, rent of the adjoining rooms, heating, seating and, if available, light and buffet lighting.
- Deviations from the offer (extended hours, glass breakage, higher number of participants, extended final cleaning, etc.) will be invoiced separately in the final cleaning.
- Technology means, for example: conference technology, sound technology, lighting technology including sound or lighting technicians, stage helpers, etc.
- Decoration means, for example: individual table decoration, individual flower decoration, individual room furnishings depending on request, etc.
6) Locations: The booking of locations for events, conferences and company celebrations takes place after the written consent of the customer. The rent for the location is billed to the customer in full via GD-Incentives. Necessary additional costs, e.g. cloakroom, heating, lighting, catering and arrival and departure of participants, etc., will be presented to the customer and, after written consent, will be invoiced to the customer via GD-Incentives.
- For locations, the provider’s general terms and conditions, which are transmitted with the offer, generally apply. Details are included in the order confirmation.
- d) artist GD Incentives GmbH arranges, singers, DJs, bands, bands, walking acts, pantomimes, solo entertainers, comedians, speakers, moderators etc., fees and additional
costs: fees, catering and drinks for artists and Helpers, cloakroom rental and necessary assistants for masks, dressers, etc. will be billed to the total invoice via GD Incentives GmbH.
- e) Booking theater, musical and tour tickets
There is no right of withdrawal or return. There is also no right to exchange cards.
In addition to the pure ticket price, our ticket prices include a ticket system and advance booking fee.
The delivery fees for the cards are not included. The delivery fees are the postage required by Deutsche Post AG for simple letter sending.
- f) Arranging coaches, limousines and large-capacity taxis
Charter: The contractual service includes the provision of a vehicle of the desired size with a driver and the implementation of the transport. Normal luggage and – upon agreement – other items are only transported free of charge in the coach and large taxi. The agreed service does not include supervision of the luggage, in particular before or during loading and during or after unloading.
Additional costs (e.g. road and parking fees, accommodation costs and meals for the driving staff) are not included in the rental price and are additionally borne by the customer.
Transfer Waiting times are set at 30 minutes.
- g) Arranging ships, harbor tours, vintage ships, houseboats
The shipping company provides the ship in operational condition including operating resources and crew in accordance with the legal requirements. Provisions for the duration of use and the desired route are available.
Charter:
The free time for passenger ships/barges to board and disembark is a maximum of 15 minutes.
Travel routes can only be taken into account if the water, tidal and weather conditions as well as legal requirements are taken into account.
If the trip is prevented or restricted for which the shipping company is not responsible – such as fog, high and low water, etc. – the event will take place with the possible but reduced scope of the trip or at the berth, without the customer being entitled to a reduction is entitled to the agreed remuneration.
4) Compensation – Payment
- All services and expenses to third parties approved by the customer and
arranged by GD Incentives GmbH, in particular for claims from copyright collecting societies, must be borne by the customer.
- A cash discount is not permitted.
- If the customer does not pay the agreed first partial payment on time, GD
Incentives GmbH must set a grace period of seven days.
- If subsequent performance is not provided within this grace period, GD Incentives GmbH is entitled to withdraw from the contract and demand compensation.
- Invoices from GD Incentives GmbH are payable without deductions within 14 days of receipt of the invoice.
- GD Incentives GmbH can demand immediate payment of due claims from the customer at any time. In the event of late payment, GD Incentives GmbH is entitled to charge the applicable statutory default interest of currently 9.3 % or, in the case of legal transactions in which a consumer is involved, 5% above the base interest rate.
- GD Incentives GmbH is entitled to demand an appropriate advance payment, a down payment or similar from the client upon conclusion of the contract. The amount of the advance payment and the payment dates can be agreed in text form in the contract.
- Payment terms can be adjusted in writing if necessary.
5) Withdrawal and cancellation
- a) The client is entitled to withdraw from the contract at any time.
- b) In this case, the customer is liable and undertakes to make the following payments (staggered according to the appropriate lead time): If the withdrawal occurs:
Cancellation is free of charge up to 16 weeks before the start of the event.
15 to 6 weeks before the event – 30% of the net project value.
6 to 2 weeks before the event – 50% of the net project value.
up to 14 days to the day of the event – 100% of the net order amount.
- c) The following cancellation periods apply to hotel bookings without a program:
Cancellation-free 8 weeks before arrival
4 – 8 weeks before arrival: 30% of the rooms ordered
2 – 4 weeks before arrival: 50% of the rooms ordered
From 14 days before arrival: 100% of the rooms ordered
A return of partial nights is excluded unless the hotel has agreed in writing to return the rooms following written notification from the customer.
If the hotel’s cancellation conditions differ, the cancellation and payment conditions of the booked hotels apply. Details are recorded in the contract.
- d) Tourist guide bookings (City Guides)
You can withdraw from the booking made via the tour at any time by notifying GD Incentives GmbH.
Claims for compensation in the event of withdrawal or cancellation are as follows:
- until the 8th day before the tour 0%
- from the 7th to the 1st day before the tour 80%
- on the day of the tour 100%
- of the price agreed for the tour.
- e) Tour guide bookings
Claims for compensation in the event of withdrawal or cancellation are as follows:
- up to 6 weeks 0% of the agreed net fee,
- 6 to 4 weeks before the tour guide 30% of the agreed net fee,
- 4 weeks to 8 days before the tour guide 50% of the agreed net fee,
- 7th to 1st day before the tour guide 80% of the agreed net fee,
- on the day of the tour guide, 100% of the agreed net fee, for the complete tour guide.
- f) Preparatory work that has already been verifiably carried out will be charged at an hourly rate of € 40.00 plus VAT per person. Hours paid.
Expenses and bookings that have already been made and confirmed by the tour guide and can no longer be canceled free of charge must be reimbursed immediately by the customer.
- g) If it is a postponement to a date within six months, 10% of the cancellation amount will be credited to the invoice for the respective new date.
- h) Bookings that can no longer be canceled free of charge must be reimbursed in full by the client even if the date is postponed.
- i) You are free to prove that no damage or significantly less damage was caused by your withdrawal than the flat rate requested by you.
6) Liability
- a) When booking from external service providers, the booking and cancellation conditions of the booked service provider generally apply.
- b) GD Incentives GmbH is not liable for damage, poor performance or non-performance that was demonstrably caused by the external service provider.
- c) GD Incentives GmbH is liable for property damage and personal damage that occurs during the entire event, the entire program for damage caused by the client and/or his customers, only in the context of negligence and intent.
7) Ticket bookings
- a) GD Incentives GmbH acts as a sales agency for the sale of theater, event and musical tickets.
- b) In addition to the pure ticket price, our ticket prices include a ticket system fee and an advance booking fee.
- c) Payment for the ordered tickets is due immediately upon conclusion of the contract.
- d) Seats will be allocated contiguously where possible. A claim to contiguous places is not granted.
- e) There is no right of withdrawal or return. There is also no right to exchange cards.
8) Unforeseen events
- a) GD Incentives GmbH delivers at the agreed time and place according to the service description.
- b) Unforeseen events or other circumstances that cannot be influenced (storm surges, train delays, traffic jams, closures due to major events, demonstrations, etc.) can still lead to route changes, delays or cancellations of parts of the program. Such delays or cancellations do not give rise to claims.
9) Place of jurisdiction, severability clause
- a) German law applies.
- b) The contracting parties undertake to carry out an arbitration procedure in the event of disagreements with the aim of developing a fair and fair agreement by means of arbitration/mediation, taking into account the economic, legal, personal and social circumstances.
- c) Place of jurisdiction for disputes arising from the underlying contractual relationship is Hamburg.
Should this agreement or parts of it become ineffective – for whatever reason – the ineffective agreement will be replaced by a regulation that comes closest to what was intended.^
